OpsDepo Terms of Service

Effective date: October 1, 2026
Between: Ops Depo LLC, a Utah limited liability company ("OpsDepo," "we," "us"), and the business that creates an account ("you," "Customer").

By creating an account or using app.opsdepo.com (the "Service"), you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind it.

1. The Service

OpsDepo is a subscription software service for field-service businesses: jobs, scheduling, bids, invoices, payments, receipts, and optional integrations such as QuickBooks Online. We may add, change, or remove features; we will give notice of material changes that reduce functionality you are paying for.

2. Accounts and team members

You are responsible for your account, for the people you invite, and for keeping sign-in credentials confidential. Owners control roles and access. You must provide accurate business information and keep it current.

3. Your data

You own the data you enter (customers, jobs, bids, invoices, files). You grant us a license to host, process, and display it solely to provide and support the Service. You are responsible for having the right to enter your customers' information and for complying with laws that apply to your communications with them. Our Privacy Policy explains how we handle data.

4. Payments to OpsDepo

Subscriptions are billed in advance, monthly or annually as selected, through Stripe. Fees are non-refundable except where required by law or stated otherwise in writing. Prices may change with at least 30 days' notice before your next billing period. If payment fails we may suspend the Service after notice.

5. Payments from your customers

If you accept card or bank payments from your customers through the Service, those payments are processed by Stripe under Stripe's terms. OpsDepo is not a party to transactions between you and your customers and does not hold your funds.

6. QuickBooks Online integration

If you connect QuickBooks Online:

  • You authorize OpsDepo to access and update your QuickBooks company as described in the Privacy Policy and in Settings → Accounting.
  • Your use of QuickBooks is governed by Intuit's terms; OpsDepo is not affiliated with Intuit.
  • You are responsible for reviewing synced records and for your books. OpsDepo pushes invoices, customers, items, and payments you create; it does not provide accounting or tax advice.
  • You can disconnect at any time, which revokes our access.

7. Acceptable use

You will not: use the Service to send unlawful or unsolicited communications; upload malware; attempt to access other customers' data; reverse-engineer or resell the Service; or use it in violation of applicable law, including laws governing text messaging and consumer communications.

8. Availability and support

We aim for high availability but do not guarantee uninterrupted service. We provide support by email at support@opsdepo.com during normal business hours (Mountain Time). Planned maintenance will be announced where practical.

9. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only as needed under these Terms.

10. Disclaimers

The Service is provided "as is." We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that synced accounting data will be accurate for tax or financial reporting; you remain responsible for your books.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, consequential, or punitive damages, or for lost profits or revenue. OpsDepo's total liability under these Terms is limited to the fees you paid in the twelve months before the claim. These limits do not apply to a party's breach of confidentiality, infringement of the other's intellectual property, or liability that cannot be limited by law.

12. Term and termination

These Terms last while you have an account. You may cancel at any time from Settings or by emailing support; cancellation takes effect at the end of the current billing period. We may suspend or terminate for material breach after notice and a reasonable chance to cure, or immediately for unlawful use. On termination you may export your data for 30 days; after that we delete it per the Privacy Policy.

13. Changes to these Terms

We will post updated Terms with a new effective date and notify account owners by email at least 30 days before material changes take effect. Continued use after that date is acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of Utah. Disputes will be resolved in the state or federal courts located in Washington County, Utah, and both parties consent to that venue. Before filing, each party agrees to try in good faith to resolve the dispute by discussion for 30 days.

15. General

These Terms, the Privacy Policy, and any order form are the entire agreement. If a provision is unenforceable, the rest remains in effect. Neither party may assign these Terms without consent, except to a successor in a merger or acquisition. Notices to us: support@opsdepo.com. Notices to you: the owner email on the account.
